Howard Lutnick, President Trump\u2019s nominee for commerce secretary, has been involved in the conversations and considers them one of the most consequential challenges of his new job, two of the people familiar with the discussions said.<\/p>\n<\/div>\n<aside class=\"css-ew4tgv\" aria-label=\"companion column\"\/><\/div>\n<div data-testid=\"companionColumn-2\">\n<div class=\"css-53u6y8\">\n<p class=\"css-at9mc1 evys1bk0\">It\u2019s not clear how much of Intel\u2019s manufacturing business TSMC would take over or how much money the Taiwanese company would invest. The deal could be limited to Intel\u2019s domestic plants, in states including Oregon, Arizona and New Mexico, or also include facilities in countries like Ireland and Israel, the people said.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">Intel\u2019s <a class=\"css-yywogo\" href=\"https:\/\/www.nytimes.com\/2024\/10\/24\/technology\/intel-ai-chips-mistakes.html\" title=\"\">business prospects soured<\/a> after it failed to develop smartphone and artificial intelligence chips. Despite the government\u2019s best efforts to revive the company by <a class=\"css-yywogo\" href=\"https:\/\/www.nytimes.com\/2024\/11\/26\/business\/economy\/intel-chips-award-biden.html\" title=\"\">promising it billions of dollars of subsidies<\/a> through the Biden administration\u2019s CHIPS Act, Intel has continued to struggle.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">Intel and TSMC declined to comment. Mr. Lutnick did not respond to a request for comment.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">Late last year, Intel\u2019s board approached TSMC to gauge its interest in some sort of partnership, two of the people familiar with the talks said. In January, TSMC\u2019s chief executive, C.C. Wei, met separately with Mr. Lutnick and Mr. Yeary to discuss how a tie-up might work.<\/p>\n<\/div>\n<aside class=\"css-ew4tgv\" aria-label=\"companion column\"\/><\/div>\n<div data-testid=\"companionColumn-3\">\n<div class=\"css-53u6y8\">\n<p class=\"css-at9mc1 evys1bk0\">Mr. Yeary has been speaking to Mr. Lutnick regularly about the idea since then, three of these people said. The Intel chairman\u2019s interest in cleaving the company has also opened the door for suitors interested in acquiring Intel\u2019s product business, including Qualcomm. A Qualcomm spokeswoman declined to comment.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">Some details of the discussions were previously reported by <a class=\"css-yywogo\" href=\"https:\/\/www.digitimes.com\/news\/a20250212PD234.html\" title=\"\" rel=\"noopener noreferrer\" target=\"_blank\">Digitimes<\/a>, a Taiwanese news outlet, and <a class=\"css-yywogo\" href=\"https:\/\/www.bloomberg.com\/news\/articles\/2025-02-14\/tsmc-considers-running-intel-s-us-factories-after-trump-team-request?srnd=phx-deals&amp;sref=zVYYYI5e\" title=\"\" rel=\"noopener noreferrer\" target=\"_blank\">Bloomberg<\/a>.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">The question now is whether the Trump administration thinks an ailing national champion like Intel is better off in the hands of a foreign company or if the administration needs to search for another solution.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">\u201cEven with potential U.S. government support from the CHIPS Act and officials eager to see the firm rebound and lead the renaissance of advanced manufacturing in the U.S., the road ahead will be tough,\u201d said Paul Triolo, a partner at Albright Stonebridge Group who tracks the industry.<\/p>\n<\/div>\n<aside class=\"css-ew4tgv\" aria-label=\"companion column\"\/><\/div>\n<div data-testid=\"companionColumn-4\">\n<div class=\"css-53u6y8\">\n<p class=\"css-at9mc1 evys1bk0\">Hanging over the negotiations are questions about Mr. Trump\u2019s approach to the chips industry and Taiwan, which is sharply different from former President Joseph R. Biden Jr.\u2019s strategy. Mr. Trump has criticized the Biden administration\u2019s investments in domestic chip manufacturing, <a class=\"css-yywogo\" href=\"https:\/\/www.nytimes.com\/2025\/02\/13\/world\/asia\/taiwan-tariffs-trump.html\" title=\"\">threatened to impose tariffs on foreign-made chips<\/a>, accused Taiwan of stealing the semiconductor industry away from the United States and questioned U.S. military support for the island, which is seeking to defend itself against Beijing\u2019s encroachment.<\/p>\n<\/div>\n<aside class=\"css-ew4tgv\" aria-label=\"companion column\"\/><\/div>\n<div data-testid=\"companionColumn-5\">\n<div class=\"css-53u6y8\">\n<p class=\"css-at9mc1 evys1bk0\">In remarks to Republican lawmakers in late January, Mr. Trump said a significant tariff, not subsidies, was all that was needed to force chip companies back to the United States.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">\u201cWe want them to come back, and we don\u2019t want to give them billions of dollars like this ridiculous program that Biden has,\u201d the president said.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">In his Jan. 29 Senate confirmation hearing, <a class=\"css-yywogo\" href=\"https:\/\/www.nytimes.com\/2025\/01\/29\/business\/economy\/lutnick-trump-tariffs-china.html\" title=\"\">Mr. Lutnick appeared to walk a careful line<\/a> on the CHIPS program. He described it as \u201cnecessary and important\u201d and a \u201cdown payment\u201d on bringing manufacturing back to the United States. But Mr. Lutnick refused to commit outright to honoring contracts that companies had already signed with the government.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">To placate Mr. Trump, Taiwanese officials and businesspeople <a class=\"css-yywogo\" href=\"https:\/\/www.nytimes.com\/2025\/02\/13\/world\/asia\/taiwan-tariffs-trump.html\" title=\"\">have been cultivating ties<\/a> with people in his orbit, floating new deals in the gas sector and trying to explain how Taiwanese semiconductor manufacturing benefits the United States.<\/p>\n<\/div>\n<aside class=\"css-ew4tgv\" aria-label=\"companion column\"\/><\/div>\n<div data-testid=\"companionColumn-6\">\n<div class=\"css-53u6y8\">\n<p class=\"css-at9mc1 evys1bk0\">Taiwanese officials are also monitoring the talks over Intel\u2019s future. For Taiwan, TSMC\u2019s dominance of advanced chip manufacturing has become what some commentators call a \u201csilicon shield\u201d that deters military action by China and encourages support from the United States.<\/p>\n<\/div>\n<aside class=\"css-ew4tgv\" aria-label=\"companion column\"\/><\/div>\n<div data-testid=\"companionColumn-7\">\n<div class=\"css-53u6y8\">\n<p class=\"css-at9mc1 evys1bk0\">Taiwan\u2019s president, Lai Ching-te, said on Friday that his government would work with the island\u2019s semiconductor companies to develop a strategy addressing Mr. Trump\u2019s grievances while protecting Taiwan\u2019s role in the chip sector.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">\u201cTaiwan\u2019s government will be in mutual contact and discussions with the semiconductor sector to formulate the right strategy, and then there\u2019ll be further deliberation over the proposals with the United States,\u201d Mr. Lai said in a news conference.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">TSMC could address Mr. Trump\u2019s demands by simply building more manufacturing capacity in the United States, said Stacy Rasgon, a semiconductor analyst at Bernstein Research. TSMC, which <a class=\"css-yywogo\" href=\"https:\/\/www.nytimes.com\/2024\/11\/15\/business\/economy\/tsmc-chips-grant-biden.html\" title=\"\">received up to $6.6 billion in grants<\/a> from the CHIPS Act, is building three factories in Arizona and has the ability to expand there.<\/p>\n<\/div>\n<aside class=\"css-ew4tgv\" aria-label=\"companion column\"\/><\/div>\n<div data-testid=\"companionColumn-8\">\n<div class=\"css-53u6y8\">\n<p class=\"css-at9mc1 evys1bk0\">The idea of breaking up Intel speaks to how much the company\u2019s fortunes have changed. Founded in 1968, it became the world\u2019s most valuable semiconductor company by designing and manufacturing chips for personal computers and data centers. But the company has struggled in recent years to innovate and ceded ground to rivals like Nvidia, the dominant maker of A.I. chips.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">Pat Gelsinger, who was named Intel\u2019s chief executive in 2021, promised to turn the company around by reinvigorating its manufacturing business, but the effort faltered. In November, <a class=\"css-yywogo\" href=\"https:\/\/www.nytimes.com\/2024\/12\/02\/technology\/intel-ceo-pat-gelsinger.html\" title=\"\">Intel\u2019s board forced Mr. Gelsinger to resign<\/a>.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">Intel\u2019s manufacturing business, which it calls Intel Foundry, reported an operating loss of $13.4 billion in 2024 as sales from customers decreased 60 percent. Last year, the company said it planned to make the business <a class=\"css-yywogo\" href=\"https:\/\/www.nytimes.com\/2024\/09\/16\/us\/politics\/intel-chips-semiconductor-grant.html\" title=\"\">an independent subsidiary<\/a>.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">With Intel\u2019s stock price down nearly 50 percent over the past year, splitting Intel could make it vulnerable to a takeover, said Patrick Moorhead, founder of Moor Insights and Strategy, a tech research firm.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">\u201cIntel as we know it would cease to exist,\u201d he said. \u201cIt would
