The all-stock transaction will allow the firm backed by the Trump brothers to be listed on the Nasdaq exchange. The merger is expected to close as early as the third quarter of this year.<\/p>\n<p>The company&#8217;s goals, according to an <a href=\"https:\/\/cdn.prod.website-files.com\/681f4573943bb673e59f9531\/682160f6fe86e0dfce3aa86c_American%20Bitcoin%20Public%20Listing%20Transaction%20Overview.pdf\" target=\"_blank\" rel=\"nofollow noopener\">overview posted Monday<\/a>, are to mine new bitcoin &#8220;below market cost&#8221; and to build up a reserve of the cryptocurrency.<\/p>\n<p>&#8220;Our vision for American Bitcoin is to create the most investable Bitcoin accumulation platform in the market,&#8221; Eric Trump said in a <a href=\"https:\/\/www.americanbtc.com\/content\/american-bitcoin-announces-go-public-transaction-through-strategic-merger-with-nasdaq-listed-entity\" target=\"_blank\" rel=\"nofollow noopener\">statement<\/a>.<\/p>\n<p>American Bitcoin was launched in March, with crypto mining firm Hut 8 <a href=\"https:\/\/hut8.com\/2025\/03\/31\/hut-8-and-eric-trump-launch-american-bitcoin-to-set-a-new-standard-in-bitcoin-mining\/\" target=\"_blank\" rel=\"nofollow noopener\">owning<\/a> a majority stake. At the time, the company said it &#8220;aims to become the world&#8217;s largest, most efficient pure-play Bitcoin miner.&#8221; It&#8217;s the successor to American Data Centers, a <a href=\"https:\/\/www.prnewswire.com\/news-releases\/dominari-holdings-investment-american-data-centers-becomes-american-bitcoin-in-transformative-bitcoin-mining-deal-with-hut-8-302415473.html\" target=\"_blank\" rel=\"nofollow noopener\">venture<\/a> backed by Eric Trump, his older brother Donald Trump Jr. and publicly traded Dominari Holdings.<\/p>\n<p>Crypto mining also has a stamp of approval from Eric and Donald Trump Jr.&#8217;s father. The president <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/news\/trump-cryptocurrency-campaign-nashville\/\" data-invalid-url-rewritten-http=\"\">pledged to make<\/a><\/span> the United States a &#8220;bitcoin mining powerhouse&#8221; last year.<\/p>\n<h2>What is bitcoin mining \u2014 and why is it controversial?<\/h2>\n<p>Mining is an essential part of how bitcoin operates. The currency isn&#8217;t centralized, and instead relies on independent actors \u2014 known as miners \u2014 who carry out complicated math problems to verify bitcoin transactions and list them on a public ledger known as a blockchain. As a reward for this work, miners earn units of bitcoin for crunching the numbers successfully.<\/p>\n<p>The value of a bitcoin stands at around $102,000, and the reward for mining <a href=\"https:\/\/www.coindesk.com\/learn\/bitcoin-halving-explained\" target=\"_blank\" rel=\"nofollow noopener\">decreases over time<\/a> as the number of bitcoin in circulation increases, making mining a lucrative endeavor.\u00a0<\/p>\n<p>But mining is <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/news\/bitcoin-noise-arkansas-right-to-mine-bill\/\" data-invalid-url-rewritten-http=\"\">controversial<\/a><\/span> because it&#8217;s extremely energy-intensive, with miners operating gigantic data centers filled with server racks that carry out the mathematical operations necessary to mine. A team from <a href=\"https:\/\/ccaf.io\/cbnsi\/cbeci\/comparisons\" target=\"_blank\" rel=\"nofollow noopener\">Cambridge University<\/a> estimates bitcoin uses about 187.9 terawatt-hours of electricity per year, more than the entire country of Egypt.<\/p>\n<h2>Trump family&#8217;s crypto empire grows<\/h2>\n<p>The Trump brothers&#8217; foray into bitcoin mining marks the family&#8217;s latest crypto venture. The president and his <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/news\/trump-world-liberty-financial-crypto-exchange-what-to-know\/\" data-invalid-url-rewritten-http=\"\">two eldest sons<\/a><\/span> are backing the crypto exchange World Liberty Financial, which got a multi-billion dollar boost earlier this month from an Abu Dhabi-based firm, and Mr. Trump launched a <a href=\"https:\/\/coinmarketcap.com\/currencies\/official-trump\/\" target=\"_blank\" rel=\"nofollow noopener\">highly volatile<\/a> &#8220;meme coin&#8221; called $TRUMP in January.<\/p>\n<p>Crypto investments make up about $2.9 billion of the family&#8217;s net worth, one <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/news\/trump-family-net-worth-crypto-investments\/\" data-invalid-url-rewritten-http=\"\">report estimates<\/a><\/span>.<\/p>\n<p>The Trump family&#8217;s interest in cryptocurrency has drawn criticism for conflicts of interest. Last week, Senate Democrats blocked a <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/news\/senate-to-take-key-vote-on-crypto-bill-as-democratic-opposition-threatens-path-forward\/\" data-invalid-url-rewritten-http=\"\">crypto regulation bill<\/a><\/span> from moving forward and pushed for it to include <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/news\/senate-democrats-genius-act-stablecoin-crypto-bill-trump\/\" data-invalid-url-rewritten-http=\"\">new limits<\/a><\/span> on elected officials participating in some types of crypto ventures, with Democratic Sen. Elizabeth Warren of Massachusetts accusing Mr. Trump of &#8220;crypto corruption.&#8221;<\/p>\n<p>The White House has pushed back on the criticism.
