This isn\u2019t a rumor, a leak, or a trial balloon. <span style=\"color: #ff0000;\"><a style=\"color: #ff0000;\" href=\"https:\/\/x-shared.s3.us-east-1.amazonaws.com\/Pershing+Square+Letter.pdf\" target=\"_blank\" rel=\"nofollow noopener\"><strong>Pershing Square issued a formal press release<\/strong><\/a><\/span>. The bid is in writing, and UMG\u2019s board now has to respond to it. UMG shares jumped nearly 12% on the news.<\/span><\/p>\n<p><span style=\"color: #000000;\">\u201cSince UMG\u2019s listing, Sir Lucian Grainge and the company\u2019s management have done an excellent job nurturing and continuing to build a world-class artist roster and generating strong business performance,\u201d said Pershing Square CEO Bill Ackman. \u201cHowever, UMG\u2019s stock price has languished due to a combination of issues that are unrelated to the performance of its music business and importantly, all of them can be addressed with this transaction.\u201d<\/span><\/p>\n<p><span style=\"color: #000000;\">The proposed structure would delist UMG from Amsterdam\u2019s Euronext \u2014 where it has traded since its 2021 spinoff from Vivendi \u2014 and relist the merged entity on the New York Stock Exchange under the ticker \u201cNew UMG.\u201d Beyond the price, the proposal calls for a full board refresh, with Michael Ovitz \u2014 co-founder of Creative Artists Agency and former president of The Walt Disney Company \u2014 named as incoming chairman.<\/span><\/p>\n<p><strong><span style=\"color: #000000;\">What Ackman\u2019s track record tells us<\/span><\/strong><\/p>\n<p><span style=\"color: #000000;\">The specific governance and operational terms of the proposed deal have not been publicly disclosed, so speculation about how UMG would be run post-acquisition would be getting ahead of the facts. What is documented and public is Ackman\u2019s behavior as an activist investor. He does not acquire stakes to leave things alone. His track record across Burger King, Herbalife, Valeant, and others is consistent: identify what he believes is an underperforming asset, take a major position, and push hard for structural and operational change.
